have not been fully paid for in cash or past services. Promissory notes
are inadequate.

Section 41 of the Company Act stipulates that before allotting shares, the Directors must first offer them pro rata to the existing Members (Shareholders). Thus, to allot shares to new shareholders, all of the existing shareholders must consent to the proposed allotment and waive any rights in relation thereto. Share Allotment assumes the existing shareholders will consent to the allotment and waive their rights. If one or more shareholders does not, the tailored Consent & Waiver for Allotment will be inadequate. See section 41 of the Company Act for the procedure to be taken if this occurs.
