Certificate of Incorporation

This information must come from the original Certificate of Incorporation.  If you undertook a Change of Name and received a new Certificate of Incorporation, you must still rely on the original for completing these entries.

Reference the original Certificate of Incorporation to record the Company Name, Date Issued and Corporation Number (top right corner of certificate).  Ensure the company name ends with the appropriate corporate designation: "Limited", "Limitee", "Incorporated", "Incorporee", or "Corporation", or an abbreviation therefrom (e.g. "Ltd.", "Ltee", "Inc.", or "Corp.").

Incorporators (Founders)

Reproduce the entries originally submitted for Self-Incorporation.  This information can be found in the Articles of Incorporation.  The order of incorporators, if more than one, is not important.

To allot founders' shares, for each incorporator, enter the price the incorporator paid per share, and the total number of shares the incorporator purchased.  Enter the price paid per share in dollars.  For example, "thirty cents a share" equals 0.30.  Enter the number of shares numerically, and do not use fractions.  For example, "ten thousand, three hundred and fifty-five shares" equals 10,355.

To add new shareholders and allot further shares, use Share Allotment.
